Terms and Conditions

1. Introduction

These Terms & Conditions of Trade (“Terms”) govern all transactions, quotations, and agreements between NXTHAUL Import & Export Co., Ltd (“NXTHAUL,” “we,” “our,” or “us”) and any business entity or buyer (“Client,” “you,” or “your”).
By engaging with NXTHAUL, you agree to be bound by these Terms, which are governed under the laws of Mainland China.

2. Business Scope

NXTHAUL operates as a wholesale, OEM, and export management company connecting international businesses with verified Chinese manufacturers.
Our services include product procurement, OEM production, quality assurance, export logistics, and trade consulting.

3. Quotations and Pricing

All quotations issued by NXTHAUL are valid for 30 days from the date of issue unless stated otherwise.
Prices are based on the terms, specifications, and quantities confirmed at the time of quotation.
NXTHAUL reserves the right to adjust pricing due to changes in currency exchange rates, raw material costs, or shipping rates.

4. Orders and Deposits

Orders are confirmed only upon receipt of a 30% deposit and a signed Proforma Invoice (PI).
The remaining 70% balance is due before shipment unless alternative terms are agreed upon in writing.
NXTHAUL reserves the right to withhold production or shipment if payment terms are not met.

5. Production and Delivery

Lead times vary depending on the product category and production complexity.
NXTHAUL will provide estimated delivery dates upon confirmation of each order.
Delays caused by force majeure, customs regulations, or third-party carriers shall not constitute a breach of contract.

6. Shipping Terms

NXTHAUL operates under all Incoterms 2010 and 2020 standards (EXW, FOB, CIF, DDP, etc.) as agreed upon in the Sales Contract.
Once goods are handed over as per the chosen Incoterm, the risk and responsibility transfer to the buyer.

7. Quality Assurance

NXTHAUL maintains strict multi-stage inspection protocols before shipment.
Should the Client require third-party inspection, it must be arranged prior to shipment and at the Client’s cost.

8. Returns and Replacements

Any claim regarding product defects or discrepancies must be submitted within 30 days of delivery.
Approved claims may result in replacement, repair, or credit, as deemed appropriate by NXTHAUL.
Returns are not accepted without prior written authorization.

9. Warranty and Liability

NXTHAUL provides a 90-day warranty on goods against manufacturing defects unless otherwise specified.
Our liability is limited to the value of the goods supplied and does not extend to indirect losses, damages, or profit loss.

10. Compliance and Documentation

NXTHAUL ensures all exports comply with applicable Chinese trade regulations and international standards.
Clients must provide accurate information for shipping documentation, import permits, and compliance verification.

11. Dispute Resolution

All disputes arising from these Terms shall be resolved through negotiation.
If unresolved, the case shall be submitted to the People’s Court of Mainland China, whose decision shall be final and binding.

12. Amendments

NXTHAUL reserves the right to amend these Terms & Conditions at any time.
Updated versions will be published on our official website and apply immediately to all new transactions.
