Terms & Conditions of Trade

These Terms & Conditions (“Terms”) govern all engagements, services, communications, and agreements between NXTHAUL Import & Export Management LLC (“NXTHAUL,” “we,” “our,” or “us”) and any business entity, organization, or individual (“Client,” “you,” or “your”).

By engaging NXTHAUL, accessing our services, or communicating with us in connection with a transaction, you agree to be bound by these Terms.

1. Scope of Services

NXTHAUL provides international trade support services, including but not limited to:

  • Trade verification and due diligence

  • Document review and validation

  • Transaction structuring and Incoterms guidance

  • Buy-side and sell-side brokerage support

  • Transaction oversight and coordination

  • Post-transaction support where applicable

NXTHAUL does not manufacture, sell, buy, transport, insure, or take title to goods. We do not act as a freight forwarder, carrier, or importer of record unless expressly agreed in writing.

2. Engagement & Acceptance

Services are provided only after:

  • Scope is clearly defined

  • Applicable fees are agreed in writing

  • Any required engagement or commitment fee is paid

NXTHAUL reserves the right to decline or terminate engagements at its discretion.

3. Fees & Payment Terms

All fees relate to professional services provided by NXTHAUL.

Unless otherwise agreed in writing:

  • Fees are payable in advance

  • Fees are non-refundable once services commence

  • Late or incomplete payments may result in suspension or termination of services

Detailed payment terms are governed by NXTHAUL’s Payment & Transaction Policy.

4. Client Responsibilities

Clients agree to:

  • Provide accurate, complete, and timely information

  • Supply correct documents, specifications, and instructions

  • Comply with all applicable laws, regulations, and trade requirements

  • Make decisions based on information provided, understanding that final responsibility rests with the contracting parties

NXTHAUL is not responsible for outcomes affected by incomplete or inaccurate information supplied by the Client.

5. Third-Party Relationships

NXTHAUL may introduce or coordinate with third parties, including suppliers, inspectors, logistics providers, or advisors.

NXTHAUL:

  • Does not guarantee third-party performance

  • Is not responsible for acts or omissions of third parties

  • Does not assume liability for goods, delivery, or manufacturing quality

All commercial agreements remain between the Client and the relevant third party.

6. Estimates, Timelines & Outcomes

Any timelines, cost estimates, or outcomes discussed are non-binding estimates provided for planning purposes only.

NXTHAUL does not guarantee:

  • Transaction completion

  • Delivery timelines

  • Customs clearance outcomes

  • Financial or commercial results

7. Limitation of Liability

To the maximum extent permitted by law:

  • NXTHAUL’s liability is limited to the amount of fees paid for the specific service giving rise to the claim

  • NXTHAUL is not liable for indirect, consequential, incidental, or economic losses, including loss of profit, revenue, or opportunity

8. Force Majeure

NXTHAUL is not liable for delays or failures caused by events beyond reasonable control, including but not limited to natural disasters, regulatory actions, labor disputes, customs delays, or third-party service disruptions.

9. Confidentiality

All non-public information shared during an engagement is treated as confidential and used solely for the purpose of providing agreed services, unless disclosure is required by law.

10. Intellectual Property

All reports, analyses, documents, and materials produced by NXTHAUL remain our intellectual property unless otherwise agreed in writing.

11. Termination

Either party may terminate an engagement in writing. Termination does not entitle the Client to refunds for services already rendered or fees already incurred.

12. Governing Law & Jurisdiction

These Terms are governed by the laws applicable to NXTHAUL Import & Export Management LLC.

Any disputes shall be resolved in a court of competent jurisdiction as specified in the applicable engagement agreement.

13. Amendments

NXTHAUL reserves the right to amend these Terms at any time. Updated versions will be published on our website and apply to future engagements.
